Software Escrow

To many of our customers the software products they purchase allow their business to perform more efficiently and effectively. Consequently our software products are an important part of their business process and an investment they want to protect.

Acarda's software escrow service allows our customers to have the assurance that should Acarda face insolvency or cease to conduct business without arranging a successor, then our customers will be able to gain access to a predefined product source code. This would allow them should these certain conditions arise to be able to maintain the product to ensure they can continue to use it in their business.

Software source code is what software developers write to create software products. Software source code is a valuable asset so most software developers would object to providing source code to their customers. So how can we protect our assets yet provide that assurance and confidence to our customers? The answer is, by having our source code and related information held on escrow by an independent 3rd party known as an escrow agent.

Software escrow tends to only be required for the higher value products where our customers have considerable investment. Acarda offers a software escrow service for our TeamMax|OutBound call center software. If you are interested in us having other products held on escrow please contact us.

Our escrow service runs on a 12-month subscription basis and has an annual subscription fee of US$1969. There are certain conditions you must meet to take part in our software escrow service. These qualifications are detailed in our escrow agreement however in summary you must have a valid license for the software product, it cannot be a rental license, and you must also be taking part of Acarda's Software Subscription Plan. Escrow Subscription Application & Renewal

To take part of our software escrow program please contact us and we will send you the Escrow Agreement, Escrow Beneficiary Application Form and invoice for the Escrow Subscription Annual Fee. You should read the Escrow Agreement carefully then to show your acceptance of the terms sign the Escrow Beneficiary Application Form. Once you have made the payment of the first Escrow Subscription Annual Fee and we have received your signed Escrow Beneficiary Application Form we will process it. Should your application be successful then we will date and counter sign it and return a copy to you. Your 12-month Escrow Subscription starts from the date we counter sign your application. In the unlikely event that your application is declined then we will refund the money we have received from you.

Approximately 60 days before your subscription is due to expire we will send you an invoice and another Escrow Beneficiary Application Form. Once you have made the payment of the Escrow Subscription Annual Fee and we have received your signed Escrow Beneficiary Application Form we will process it. Assuming your application is successful we will counter sign your application on either the last working day before the anniversary date of your subscription or a latter date if your payment and signed application is received after your past subscription expires. Your next 12-month Escrow Subscription starts from the date we counter sign your application.
